Denzel Chua 蔡毅苇

Denzel is a corporate and commercial lawyer with expertise in capital markets transactions, funds (including Variable Capital Companies), private wealth management (including Single Family Offices), and general corporate advisory matters.

Denzel advises on a broad range of corporate and commercial matters. His experience includes advising on capital markets transactions, mergers and acquisitions, legal due diligence, voluntary general offers, post-listing compliance, de-listings, share buybacks, capital reductions, the setting up of single-family offices (SFOs) and variable capital companies (VCCs) in Singapore. He has assisted clients with various applications with the Singapore Exchange Securities Trading Limited (SGX-ST) as well as the Monetary Authority of Singapore (MAS).

Denzel’s expertise lies in drafting and tailoring agreements and documents are well suited for his clients’ needs. He has crafted a wide variety of legal documents, including but not limited to shareholders’ agreements, subscription agreements, sale and purchase agreements, employment agreements, escrow agreements, guarantees, circulars, information memorandums, settlement agreements, corporate approvals (e.g., board resolutions) etc.

Prior to joining Forte Law LLC, Denzel practised at a mid-sized law firm where he acted for clients ranging from listed companies to fund managers in high-value transactions. Before that, he was part of a retail collective investment schemes practice at another boutique corporate law firm.

Denzel graduated from the National University of Singapore with a Bachelor of Laws (LLB, Hons).

Significant Matters

  • Advised Huan Hsin Holdings Ltd on its directed delisting from the SGX-ST, its exit offer and compulsory acquisition.
  • Advised AVIC International Maritime Holdings Limited (the offeree) on a voluntary general offer for all its shares and its subsequent compulsory acquisition and delisting. The offer was made by United Overseas Bank Limited on behalf of the China Merchants Industry Group (the offeror).
  • Advised Sino Grandness Food Industry Group Limited on its proposed change of auditors.
  • Advised the LESSO Group (Hong Kong Stock Exchange listed) on its acquisition of Aliaxis SA’s business in Singapore.
  • Advised DH Wealth Management Pte. Ltd., a licensed fund manager, on the incorporation of a variable capital company and the registration of various sub-funds thereunder (including drafting of the relevant information memorandum, supplemental memorandum, lodging the relevant notification on CISNET etc.), as well as on an application for a tax exemption under Section 13O of the Income Tax Act 1947 of Singapore.
